1. Acceptance of Terms
By accessing Dexxy's website or engaging in our services, you agree to these Terms of Use, our Privacy Policy, and any other legal notices or conditions published on our site. These terms constitute a binding agreement between you ("the Client") and Dexxy Digital SRL ("we," "us," or "our").​

2. Services
Dexxy Digital SRL offers services including, but not limited to, web Design, UI\UX Design, mobile design, motion design, consulting, recruitment. The specific terms of each service will be outlined in a separate agreement prior to engagement.​

3. Payment Terms
- Our services are billed on an hourly basis, a retainer, a fixed price, or commission, depending on the agreement with the Client.
- Invoices are due within 14 days of receipt unless otherwise agreed upon in writing.
- Late payments may incur a late fee of 1.5% per month or the maximum amount permitted by law.​

4. Staff Augmentation
- The Client has a two-week trial period to assess the performance of any specialist provided by Dexxy.
- If the Client is unsatisfied, we will replace the specialist at no additional cost within a reasonable timeframe.
- The Client agrees not to directly hire any Dexxy-provided specialists for a period of 12 months following the end of the service contract.​

5. Confidentiality
Both parties agree to maintain the confidentiality of any non-public information shared during the course of our engagement. This includes, but is not limited to, business strategies, client lists, financial data, and proprietary tools or methodologies.

6. Intellectual Property
Any content, reports, strategies, or materials developed by Dexxy Digital SRL during the course of our services remain our intellectual property unless explicitly transferred in writing. The Client is granted a limited, non-exclusive, non-transferable license to use the materials solely for their internal business purposes.

7. Liability
- Dexxy Digital SRL will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
- Our total liability for any claim related to the services provided shall not exceed the amount paid by the Client to Dexxy for the specific service in question.
- The Client acknowledges that results may vary depending on multiple factors beyond Dexxy Digital SRL's control, including market conditions and internal business decisions.

8. Termination
- Either party may terminate the service agreement with a written notice of 30 days.
- Dexxy Digital SRL reserves the right to terminate the agreement immediately if the Client fails to comply with these Terms of Use or engages in unethical or illegal activities.
- Upon termination, all outstanding payments become immediately due.

9. Amendments
Dexxy Digital SRL reserves the right to update or modify these Terms of Use at any time. Any changes will be effective immediately upon posting on our website. It is the Client's responsibility to review these terms periodically.

10. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of the jurisdiction in which Dexxy operates. Any disputes arising from these terms shall be resolved in the courts of that jurisdiction.
